Terms & Conditions

Welcome to Tubo.ph. These Terms & Conditions (“Terms”) govern your access to and use of the Tubo website, applications, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1) Introduction & Changes to These Terms
  • You confirm you are at least 18 years old and authorized to bind your organization (if applicable).

  • We may update these Terms at any time by posting a revised version on Tubo.ph with a new “Last Updated” date. Continued use after changes constitutes acceptance of the updated Terms.

2) Definitions

Tubo / Tubo.ph / we / us / our: Ventaja International Corp. (Philippines) and Ventaja Solutions Pte. Ltd. (Singapore), including their officers, employees, contractors, licensors, and service providers.
Tubo Site: www.tubo.ph and all related functionality, content, and infrastructure.
Tubo App: Official Tubo mobile apps for iOS and Android.

Account: An Enterprise Account (organization) and/or Individual User Accounts created under it.
Subscriber: The organization that creates and administers the Enterprise Account.
User: Any individual who accesses the Services under an Account.
Content: Any information, data, text, images, videos, documents, feedback, or materials you or other users provide or upload through the Services.
Documentation: Any guides, help docs, specs, or service descriptions we provide.

3) Access to the Services
  • We use commercially reasonable efforts to keep the Services available 24/7, except for planned maintenance or events beyond our control.

  • We may modify features/functions to improve reliability, security, or usability and will provide reasonable notice of major changes.

  • We may introduce additional services or modules; your use of them will be subject to these Terms and any posted supplemental terms.

4) Services Overview Tubo provides HR automation solutions designed to streamline workforce management across different types of operations:

Timekeeping & Attendance Solutions

  • Tubo App (Mobile Timekeeping) – GPS-based and offline-ready clock-in/out for on-site, field, or hybrid teams.

  • Tubo Timekeeper (Shared Device) – One device for multiple employees with secure facial recognition; ideal for factories and high-volume sites; offline-capable.

  • Pay Salary – Hassle-free, cashless salary disbursement directly to employees’ e-wallets or assigned accounts, faster, more secure payouts every cycle.

5) Your Use of the Services

You agree to:

  • Provide accurate registration and business information and keep it up to date.

  • Maintain the confidentiality of your logins and all activity under your Account.

  • Use the Services only for lawful, authorized purposes and in accordance with these Terms and the Documentation.

You agree not to:

  • Upload illegal, infringing, misleading, defamatory, obscene, hateful, or harmful Content.

  • Circumvent security; interfere with the Services; introduce malware; scrape or harvest data; reverse engineer; or resell access.

  • Misrepresent your identity, your company, or your affiliation with Tubo.

  • Use automated means (robots, crawlers) without our written consent.

We may remove or restrict Content or access we reasonably believe violates these Terms or the law.

6) Accounts & Roles
  • Enterprise Accounts control user provisioning, roles, and permissions (e.g., Device Admin, Approver).

  • User logins are individual and may not be shared; you may reassign logins to new personnel as needed.

  • The Subscriber is responsible for user compliance, for data entered or uploaded, and for lawful processing of employee data.

7) Monitoring

We may monitor the Services to maintain security, performance, and compliance with these Terms. We are not obligated to pre-screen Content, but we may remove or disable access to Content that violates these Terms.

8) Materials & Accuracy

Guides, dashboards, reports, and other Materials are provided for operational use and general information. You are responsible for validating business decisions. We do not warrant that Materials are free from error or fit for every purpose.

9) Third-Party Sites & Integrations

The Services may link to or interoperate with third-party systems (e.g., biometrics, payroll, cloud storage). We are not responsible for third-party content, availability, terms, or practices. Your use of third-party services is governed by their terms.

10) Free Trials / Promotions

If you access any free trial or promotional access, it is provided “as-is” and may be ended or changed at any time. Data/configurations created during a trial may be deleted unless you transition to a continuing subscription.

Note: Pricing and fee terms, if applicable in the future, will be provided in a separate agreement or addendum and are intentionally omitted here.

11) Intellectual Property

The Services, Site, App, Documentation, designs, software, and all related IP are owned by Tubo or its licensors. You receive a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services per these Terms. No other rights are granted.

You may not copy, modify, distribute, create derivative works, publicly display, or exploit the Services or Materials except as expressly permitted in these Terms.

12) Privacy & Data Protection

Tubo processes personal data in accordance with the Data Privacy Act of 2012 (RA 10173) and our Privacy Policy. By using the Services, you consent to our data practices, including collection, use, storage, and disclosure as described in the Privacy Policy.

  • You warrant that you have provided all notices and obtained all consents from your employees and personnel as required by law for the processing of their data in the Services.
     

  • You may request correction or deletion of personal data consistent with law and our Privacy Policy.
     

13) Cookies & Communications

We use cookies and similar technologies to operate and improve the Services. You can manage cookies in your browser; some features may not function if cookies are disabled.
We may send you service, security, and product communications. You can opt out of marketing emails at any time (operational emails will still be sent).

14) Compliance with Laws

You are responsible for ensuring your use of the Services complies with applicable laws, regulations, industry standards, and internal policies (e.g., lawful monitoring of employees, labor and privacy regulations, export controls).

15) Disclaimer of Warranties

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Tubo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, error-free, or fully secure operation.

16) Limitation of Liability

To the maximum extent permitted by law, Tubo is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, data, goodwill, or business interruption; or third-party claims.
In any case, Tubo’s total aggregate liability arising out of or related to the Services shall not exceed the amount (if any) paid by Subscriber to Tubo for the Services in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations; in such cases, the limitation applies to the fullest extent permitted.

17) Indemnification

You agree to defend, indemnify, and hold harmless Tubo and its affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your Content; (b) your misuse of the Services; (c) your violation of these Terms or applicable law; or (d) any dispute between you and your employees or third parties related to your use of the Services.

18) Suspension & Deactivation

We may suspend or deactivate Accounts for:

  • suspected fraud, illegal activity, or security risk;

  • material breach of these Terms;

  • failure to provide accurate information or to cooperate with verification;

  • inactivity (dormancy) for an extended period; or

  • compliance with law, regulation, or a lawful order.
     

We are not liable for consequences of a good-faith suspension or deactivation.

19) Term & Termination
  • These Terms take effect upon first use and continue until terminated.

  • You may stop using the Services at any time.

  • We may terminate access where permitted under these Terms (e.g., material breach not cured within thirty (30) days of notice, insolvency, unlawful use).

  • Upon termination, your right to access the Services ends. We may retain or delete data per our Privacy Policy and legal obligations. Upon request within thirty (30) days after termination, we will provide export options reasonably available in the Services.

20) Confidentiality

Information disclosed by one party to the other that is marked or reasonably understood as confidential must be protected and used only for purposes of these Terms. Exclusions apply for information that is public, independently developed, or rightfully received from a third party.

21) Publicity (Optional)

With your consent, we may identify your organization as a Tubo client in marketing materials (e.g., name/logo on our site or decks). You may withdraw consent by written notice at any time.

22) Disputes & Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any dispute shall be submitted to the competent courts of Pasig City, Philippines after good-faith efforts to resolve informally. The parties may agree to mediation or arbitration pursuant to RA 9285 (ADR Act of 2004).

23) General

These Terms constitute the entire agreement between you and Tubo regarding the Services and supersede prior understandings. If any provision is held invalid, the remainder remains enforceable. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or asset transfer. No waiver is implied by delay or omission.

24) Notices

We may provide notices by email, in-app messages, dashboard banners, or posting on Tubo.ph. You should keep your contact details current. Printed versions of these Terms and electronic notices are admissible in legal proceedings.

25) Good Faith

Each party will act in good faith and do all reasonable acts necessary to give effect to these Terms and the intended use of the Services.
